Terms of Use

These Terms of Use ("Terms") govern your use of the services ("Platform Services") offered on www.nextspares.com and the NextSpares mobile application ("Platform"), operated by ION Controls Otomasyon ve Kontrol San. Tic. Ltd. Şti. ("NextSpares", "we"). The Platform is a B2B solution that helps factories manage spare parts inventory, list stock on a marketplace, and conduct inter-company spare parts trade. *Platform*: The NextSpares website and mobile application. *Platform Member / User*: Any natural or legal person who registers on or uses the Platform Services. *Company Account*: A corporate account that has completed registration and verification and may run inventory and marketplace operations. *Seller / Buyer*: A Platform Member listing items or purchasing on the marketplace. *Content*: All data shared on the Platform, including text, images, prices, stock, and messages. By using or registering on the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, you must not use the Platform.

NextSpares provides, among others: *Inventory management*: Warehouses, product records, stock movements, and equipment tracking. *Marketplace*: Spare parts listings, search, filtering, and B2B buying and selling. *Cart and orders*: Purchase requests, approval flows, and transaction history. *Corporate verification*: Review of company documents and account authorization. *Messaging and support*: Buyer-seller communication and help center. *Reporting and analytics*: Stock, warehouse, and operational summaries. NextSpares may update, suspend, or discontinue Platform Services without prior notice. Paid or experimental features may be announced separately.

3.1 Registration You agree to provide accurate, current, and complete information and, for corporate registration, to use a company-domain email address. Misleading information may result in suspension or closure of your account. 3.2 Account types *Corporate registration*: For company inventory, marketplace sales, and extended panel access; company verification may be required. *Marketplace buyer registration*: Purchase-focused limited access subject to current role and permission policies. 3.3 Security You are responsible for keeping your account credentials confidential and for all activity under your account. Do not share your password. Report suspected unauthorized access promptly to info@nextspares.com. 3.4 Age and authority The Platform is intended for commercial use. Anyone acting on behalf of a legal entity represents that they have authority to bind that entity.

Corporate accounts may be asked to submit documents such as trade registry records, tax certificates, or signature circulars. NextSpares may approve, reject, or request additional documents. Some features may remain restricted until verification is complete.

5.1 Listings Sellers must provide accurate descriptions, compatibility, quantity, condition, and images where applicable. Misleading listings are prohibited. 5.2 Buyer-seller relationship Marketplace sales are primarily between Seller and Buyer. NextSpares acts as an intermediary that facilitates the transaction on the Platform. 5.3 Pricing and taxes Prices are set by Sellers. Taxes, customs, shipping, and other charges apply according to law and the parties' agreement. 5.4 Payment and delivery Payment methods, invoicing, and delivery depend on available Platform options and the parties' agreement. 5.5 Cancellation, returns, and disputes Cancellation and return terms depend on the transaction type and applicable law. Parties should first use Platform messaging and support channels.

You agree to comply with applicable law, these Terms, and Platform policies; respect third-party rights; avoid harmful software, scraping, or security attacks; refrain from harassment or spam; and not manipulate stock or order data in bad faith.

Prohibited conduct includes counterfeit listings, fake company registration, interference with Platform infrastructure, manipulative orders or reviews, unlawful sharing of personal data, and unauthorized use of NextSpares branding.

Platform software, interface, logo, text, and design belong to NextSpares or its licensors. You retain rights in Content you upload but grant NextSpares a worldwide, royalty-free license to host and use it to provide the Services.

Personal data is processed under our Personal Data Notice, Cookie Notice, and Contact Notice, available on the Platform.

The Platform is provided "as is" and "as available." To the extent permitted by law, NextSpares is not liable for indirect damages, loss of profit, data loss, or issues caused by third-party services.

NextSpares may suspend or close accounts for breach, security risk, or prolonged inactivity. Users may request account closure via Platform settings or info@nextspares.com.

NextSpares may update these Terms. Material changes may be announced on the Platform or by email. Continued use after updates constitutes acceptance.

These Terms are governed by the laws of the Republic of Türkiye. Istanbul (Central) Courts and Enforcement Offices have jurisdiction, subject to mandatory consumer protections where applicable.
